Welcome to BreezeSure. The following terms and conditions (collectively, this "Agreement") constitute a binding legal agreement between you and BreezeSure, its subsidiaries, and affiliated companies (herein referred to as "BreezeSure", "we", "us", or "our").

1. Acceptance of Agreement

This Agreement applies to the BreezeSure website, platform, API, and related services around the world (collectively, the "Site" or "Service"). By creating an account, accessing, or using the Service—whether through a mobile device, mobile application, or computer—you agree to be bound by:

  • These Terms of Use;
  • Our Privacy Policy and Cookie Policy;
  • Arbitration Procedures (if applicable to your jurisdiction), each of which is incorporated by reference into this Agreement; and
  • Any specific terms disclosed and agreed to by you when you purchase additional features, products, or services we offer (collectively, this "Agreement").

If you do not accept and agree to be bound by all of the terms of this Agreement, please do not use the Service.

Modifications: We reserve the right to modify this Agreement and the Service at any time. This may be due to changes in the law, new regulatory requirements, the introduction of new features, or changes in business practices. The most current version of this Agreement will always be posted on the Site. It is your responsibility to review the Agreement periodically.

  • Material Changes: If we make changes that materially affect your rights or obligations, we will provide notification at least 30 days in advance (unless applicable law requires otherwise) via reasonable means, such as an email to your registered address or a prominent notice on the Service.
  • Continued Use: Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Agreement.

2. Eligibility

You are not authorized to create an account, access, or use the Service unless all of the following are true:

  • Age Requirement: You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater. If we reasonably suspect that an account is being used by a minor, we reserve the right to deactivate or restrict the account immediately.
  • Capacity to Contract: You have the legal capacity to form a binding contract with BreezeSure.
  • Legal Compliance: You are not a person barred from using the Service under the laws of the United States, Hong Kong, or any other applicable jurisdiction (e.g., you do not appear on the U.S. Treasury Department's list of Specially Designated Nationals or face similar prohibitions).
  • Compliance with Laws: You agree to comply with this Agreement and all applicable local, state, national, and international laws, rules, and regulations.
  • Criminal Record: You have never been convicted of a felony or an indictable offense (or a crime of similar severity) involving fraud, financial crimes, or other relevant offenses.

3. Your Account

3.1 Registration

To use the Service, you must create an account. You agree to register using a valid mobile phone number or email address that you own.

  • Unique Credentials: Please use a mobile number or email that has not been previously linked to another BreezeSure account.
  • Registration Methods: We reserve the right to modify account registration and binding methods based on product requirements or security needs.

3.2 Registration Warranties

You understand and warrant that:

  • Your account setup and usage must not violate any laws or regulations of Hong Kong or your local jurisdiction.
  • Your account name, avatar, profile information, and other personal data must not contain illegal, harmful, insulting, defamatory, obscene, or discriminatory content.
  • BreezeSure reserves the right to review the registration information you submit. We have the right to prohibit the creation of, or ban, accounts that violate these guidelines.

3.3 Account Security

  • Non-Transferable: Your account is for your personal or business use only. You are prohibited from gifting, lending, renting, transferring, selling, or allowing others to use your account without our prior written consent. If we reasonably suspect that the current user is not the initial registrant, we reserve the right to suspend or terminate the account.
  • Credential Responsibility: You are responsible for maintaining the confidentiality and security of your account credentials (username and password). You are fully responsible for all activities that occur under your account. BreezeSure assumes no liability for any loss or damage arising from the unauthorized use of your account.
  • Notification: You agree to notify us immediately if you suspect any unauthorized use of your account or any other security breach.
  • Communications: You agree to accept notifications, verifications, and other relevant information sent by us via SMS, email, in-app notifications, or other lawful means.
  • Recovery: If you lose access to your account, you may request recovery through our official appeal channels, subject to identity verification.

3.4 Access to and Correction of Your Data

You have the right to access or correct the personal data submitted during registration. Requests must be submitted in writing (including email). We will respond within the statutory time limit. To protect your security, we may verify your identity before processing such requests. We reserve the right to refuse requests if identity verification fails.

3.5 Account Deletion

You have the right to request the deletion of your account. Upon deletion, your personal information, service records, and operation logs will be permanently erased or anonymized, subject to retention requirements imposed by applicable laws (e.g., for tax or anti-money laundering purposes). If you encounter issues deleting your account, please contact our support team.


4. Shipping Protection Service

Shipments eligible for BreezeSure Shipping Protection are covered against loss, damage, and mis-delivery during transit.

4.1 Loss Coverage

We consider a package "lost" under the following conditions. For all loss claims, you will be compensated with either a replacement or a refund, not exceeding the original purchase value of the items.

  • Domestic Packages: If your package is not marked as "delivered" by the courier within 30 days from the date of shipment, we will consider it lost. Claims must be filed within 90 days from the shipment date.
  • International Packages: If your package is not marked as "delivered" by the courier within 60 days from the date of shipment, we will consider it lost. Claims must be filed within 90 days from the shipment date.
  • Packages Marked as "Delivered" but Not Received (Stolen/Porch Piracy): If the courier's tracking marks the package as "delivered" but you did not receive it, we will consider it lost, provided you submit sufficient supporting documentation (e.g., Police Report, Carrier Letter, or Security Footage). Claim Deadline: Claims for this specific scenario must be reported within 7 days from the time the courier's tracking status updated to "delivered."

4.2 Damage Coverage

If your items are delivered with damage, we will compensate you by offering either a replacement or a refund. The compensation amount will not exceed the original purchase value of the items.

  • Requirement: The damage must be proven to have occurred during transit and identified upon delivery.
  • Evidence: You must provide clear photographic evidence of both the damaged item and the packaging condition to prove the damage existed at the time of delivery.
  • Claim Deadline: You must report the damage within 7 days from the time the courier's tracking status updated to "delivered."

4.3 Mis-delivery by Courier

If the tracking status shows "delivered," but the parcel was delivered to the wrong address (and not the address listed on your purchase order):

  • Evidence Required: You must submit valid evidence proving the mis-delivery, such as official communication from the carrier confirming the error, GPS delivery coordinates, or photos showing the package at an incorrect location.
  • Correction: You must first contact the carrier to attempt to correct the address. If any cost arises from the re-delivery, BreezeSure will cover such reasonable costs.
  • Loss Treatment: If the parcel cannot be located or recovered, BreezeSure will process it as a lost claim.
  • Claim Deadline: Claims must be reported within 7 days from the time the courier's tracking status updated to "delivered."

4.4 Delay in Delivery

"Delay in delivery" occurs when a covered package has not been delivered to the destination within the agreed timeframe.

  • Evidence Required: You must provide evidence of the delay, such as tracking history screenshots showing the package has exceeded the standard delivery time without updates.
  • Compensation: You will be compensated with a predetermined amount.
  • Limit: Compensation for delay is limited to a one-time payment, with a maximum of USD 5 (or equivalent currency).

4.5 Exclusions (What is NOT Covered)

In no case shall this protection cover loss, damage, or expense caused by or resulting from:

  1. Force Majeure & Conflict: War, civil war, revolution, rebellion, insurrection, civil strife, hostile acts by belligerent powers, or terrorism/political motives.
  2. Seizure: Capture, seizure, arrest, restraint, or detainment (except piracy) and the consequences thereof.
  3. Weapons: Derelict mines, torpedoes, bombs, or other derelict weapons of war.
  4. Civil Unrest: Strikes, labor disturbances, riots, or civil commotions.
  5. User Error: Inputting an incorrect or insufficient address at checkout.
  6. Pre-Shipment Status: Parcels with tracking statuses such as "pre-shipment," "label created," or "shipment information received" (indicating the carrier has not yet taken possession).
  7. Government Action: Goods detained or confiscated by law enforcement or government authorities (including Customs).
  8. Refusal: Packages refused by the recipient or returned to sender for reasons other than verified damage.
  9. Pre-existing Defects: Product issues occurring before shipment (e.g., inherent defects, oxidation/rust without water damage).
  10. Order Errors: Wrong items sent by the merchant (wrong color, size, or style).

4.6 Cancellation Policy

  • Before Shipment: If the order has not been shipped, please contact the merchant to request a refund for the shipping protection fee.
  • After Shipment: Once the order has been shipped, the Shipping Protection service is active and the fee is non-refundable.

4.7 Limits of Indemnity

  • For Damage or Loss: The indemnity under this Plan is strictly limited to the purchase price paid for the Covered Product as shown on the Confirmation Email. Our maximum liability for any single claim shall not exceed USD 5,000. This amount does not include shipping costs or the shipping protection fee itself.
  • DISCLAIMER: IN NO EVENT SHALL WE BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE OR DELAYS IN REPLACEMENT.
  • For Delay in Delivery: Limited to a one-time payment, maximum USD 5 or equivalent.

4.8 Risk Assessment & Fraud Protection

If you breach this Agreement, provide false information, or if we have reasonable suspicion of illegal activity or abuse of the policy:

  • We reserve the right, in our sole discretion, to designate you as a "High-Risk Customer."
  • For High-Risk Customers, we may reverse your order, refund the fees charged, deny coverage, and take further action, including blocking your account permanently.

You understand and agree that due to legal, policy, commercial, shipping, and other reasons, you may face the risk of not being insured in some specific cases. You agree not to hold BreezeSure liable for compensation beyond the terms stated herein.

5. Your Personal Data and Privacy

5.1 Data Collection

In the process of registering an account or using this Service, you may be required to provide personal information necessary for the Service's functionality (such as mobile phone number, email, shipping address, etc.) and identity information required by laws and regulations (such as real-name verification info). If the information provided is incomplete, untrue, or illegal, your access to the Service may be restricted or denied.

5.2 Data Protection

BreezeSure attaches great importance to the protection of personal information. We employ technical and administrative measures to ensure the security of your data and prevent leakage, damage, or loss. For detailed information on how we collect, use, and share your data, please refer to our Privacy Policy.

6. Third-Party Services and Advertisements

6.1 Advertisements and Promotions

You understand and agree that during your use of the Service, BreezeSure may push relevant information, display advertisements, or conduct brand promotions. The Service will display commercial advertisements, promotions, or information (commercial or non-commercial) from BreezeSure and/or third-party suppliers or partners.

  • Your Responsibility: In accordance with legal requirements, BreezeSure fulfills its obligations related to advertising. However, you must independently judge the authenticity and reliability of any advertisements or promotional information. You are solely responsible for your decisions.
  • Liability: Except as otherwise provided by law, you shall bear full responsibility for any purchases, transactions, damages, or losses incurred due to such content. BreezeSure shall not be held liable for any losses arising from your interaction with advertisements.

6.2 Third-Party Services and Content

You understand and agree that the Service may embed services provided by third-party providers. BreezeSure may display its own services alongside those of third-party suppliers.

  • Independent Judgment: You should independently judge the authenticity and reliability of the services provided by third-party service providers.
  • Liability: Except as otherwise provided by law, you shall bear the responsibility for any damages or losses incurred due to services provided by third-party providers. BreezeSure shall not be held liable for the acts or omissions of these third parties.

6.3 Third-Party Software and Agreements

When using third-party software or related services within the BreezeSure Service, in addition to complying with this Agreement, you may also be required to agree to and comply with the user agreements and privacy policies of those third parties.

  • Dispute Resolution: Any disputes, losses, or damages arising from third-party software and related services shall be resolved solely between you and the third party. BreezeSure assumes no liability for such disputes.

6.4 Third-Party Payments

In the BreezeSure Service, you may choose to use a third-party payment account or link your bank card for payment.

  • Provider Terms: You understand and confirm that payment services are provided by third parties with legal qualifications. Your use of these services is subject to the terms and policies of the third-party payment service provider and relevant financial institutions, in addition to this Agreement.
  • Responsibility: The terms and regulations of such payment services are determined by you and the payment service provider. BreezeSure shall not be held responsible for any errors, delays, or issues arising from the payment service or financial institution.

7. Rights BreezeSure Grants You

BreezeSure grants you a personal, worldwide, royalty-free, non-assignable, non-exclusive, revocable, and non-sublicensable license to access and use the Service. This license is for the sole purpose of enabling you to use the Service's benefits as intended by BreezeSure and permitted by this Agreement.

License Restrictions: This license and any authorization to access the Service are automatically revoked if you do any of the following:

  1. Use the Service or any content contained therein for any commercial purposes without our written consent.
  2. Copy, modify, transmit, create derivative works from, make use of, or reproduce in any way any copyrighted material, images, trademarks, trade names, service marks, or other intellectual property accessible through the Service without BreezeSure's prior written consent.
  3. Express or imply that any statements you make are endorsed by BreezeSure.
  4. Use any robot, bot, spider, crawler, scraper, site search/retrieval application, proxy, or other manual or automatic device, method, or process to access, retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Service.
  5. Use the Service in any way that could interfere with, disrupt, or negatively affect the Service or the servers or networks connected to the Service.
  6. Upload viruses, malicious code, or otherwise compromise the security of the Service.
  7. Forge headers or manipulate identifiers to disguise the origin of any information transmitted to or through the Service.
  8. Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile, or otherwise disassemble any portion of the Service, or cause others to do so.
  9. Encourage or promote any activity that violates this Agreement.

BreezeSure reserves the right to investigate and take any available legal action in response to illegal or unauthorized uses of the Service, including the immediate termination of your account.

8. Your Obligations

  • Good Faith: You agree to use the Site in good faith and in compliance with all applicable laws and regulations. All information provided by you must be true, lawful, accurate, and not misleading or deceptive.
  • Prohibited Activities: You shall not use the Site to defraud BreezeSure, our affiliates, other users, or service providers. You shall not engage in unlawful activities (including dealing in prohibited products) or any activity that may result in complaints, disputes, claims, penalties, or liability to BreezeSure.
  • Suspension: If we, in our sole discretion, believe that you have engaged in restricted activities, we may suspend or restrict your access to the Site.
  • Indemnification: To the extent permitted under applicable law, you agree to indemnify, defend, and hold harmless BreezeSure, our affiliates, officers, directors, agents, and employees from and against any and all complaints, demands, claims, damages, losses, costs, liabilities, and expenses (including attorney's fees) due to, arising out of, or relating to your access to or use of the Service, your content, or your breach of this Agreement.

9. Purchase and Other Terms and Conditions

Additional terms and conditions may apply to purchases of specific services on the Site. All such terms are made a part of these Terms of Use by this reference.

  • Precedence: If there is a conflict between these Terms of Use and the terms posted for a specific service offered on or through the Site, the specific service terms shall control with respect to your use of that portion of the Site.
  • Changes: BreezeSure obligations, if any, with regard to its services are governed solely by the agreements pursuant to which they are provided. BreezeSure may make changes to any services offered on the Site, or to the applicable prices, at any time without notice.

10. Refund Policy

Generally, all charges for purchases are non-refundable, and there are no refunds or credits for partially used periods. We may make an exception solely if the laws applicable in your jurisdiction explicitly mandate refunds.

11. Taxation

Involving cross-border payment and taxation, BreezeSure has the right to withhold and pay taxes or file tax returns on your behalf in accordance with the tax laws of different jurisdictions. This may require transmitting your personal data and tax-related information to overseas tax authorities. You agree to cooperate with BreezeSure to fulfill all necessary tax obligations.

12. Anti-Money Laundering (AML)

BreezeSure's AML Policy is designed to ensure compliance with the requirements and obligations set out in Hong Kong legislations and international regulations to mitigate the risk of financial crime. Our standards include:

  1. Establishing a Risk-Based Approach (RBA) to manage money laundering and terrorist financing risks.
  2. Implementing Customer Due Diligence (CDD) and Know Your Customer (KYC) procedures.
  3. Monitoring ongoing customer activity.
  4. Reporting suspicious activity to relevant law enforcement authorities as appropriate.
  5. Maintaining appropriate records for prescribed periods.

BreezeSure reserves the right to require additional information or documentation to fulfill our legal obligations and to refuse any transaction suspected of being related to financial crime.

13. Intellectual Property

13.1 Company Rights

The intellectual property rights of the content provided by BreezeSure (including websites, software, technology, text, images, designs, and patents) belong exclusively to BreezeSure.

13.2 User Rights & Warranties

You promise that the content you publish or upload is either created by you or you have obtained legal authorization to use it. The intellectual property rights of the content generated by you belong to you or the original copyright holder.

13.3 Infringement Handling

If BreezeSure receives written notice from third parties claiming that your content infringes their legal rights, we have the right to delete the allegedly infringing content immediately.

13.4 BreezeSure Marks

You are prohibited from using BreezeSure's trademarks, trade names, logos, or other brand features ("Marks") without prior written consent. You may not display or use these Marks in any manner that suggests sponsorship or endorsement by BreezeSure.

14. Notice for Making Claims of Copyright Infringement

If you believe that your work has been copied and posted on the Site in a way that constitutes copyright infringement, please notify us at: [email protected].

To be effective, the notification must include:

  1. An electronic or physical signature of the authorized person;
  2. A description of the copyrighted work claimed to be infringed;
  3. A description of where the material is located on the Service;
  4. Your contact information (address, telephone, email);
  5. A statement of good faith belief that the use is not authorized; and
  6. A statement made under penalty of perjury that the information is accurate and you are the copyright owner or authorized agent.

BreezeSure will remove infringing content and terminate the accounts of repeat infringers.

15. Disclaimer

BREEZESURE DOES NOT PROMISE THAT THE SITE OR ANY CONTENT, SERVICE, OR FEATURE OF THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SITE WILL PROVIDE SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS.

ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. BREEZESURE CANNOT ENSURE THAT ANY FILES OR DATA YOU DOWNLOAD WILL BE FREE OF VIRUSES OR CONTAMINATION. BREEZESURE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

BREEZESURE DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH YOUR USE OF THE SITE. YOUR SOLE REMEDY AGAINST BREEZESURE FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

16. Limitation of Liability

Except where prohibited by law, in no event will BreezeSure be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if BreezeSure has been advised of the possibility of such damages.

If BreezeSure is found to be liable to you for any damage or loss which arises out of or is connected with your use of the Site, BreezeSure's liability shall in no event exceed the greater of:

  1. The total of any service fees paid in the three (3) months prior to the date of the initial claim; or
  2. US$100.00.

17. Applicable Law and Jurisdiction

Governing Law

This Agreement and any action related thereto will be governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

Dispute Resolution

You agree that the courts of Hong Kong shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement. You hereby consent to the exclusive jurisdiction and venue of such courts.

Consumer Rights

Nothing in this Agreement will affect your rights as a consumer to rely on mandatory provisions of the local law of the country/region in which you reside, if such laws cannot be derogated from by contract.

Severability

If any provision of this Agreement is deemed to be invalid, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

19. Miscellaneous

  • Headings: The titles and headings in this Agreement are for convenience only and do not affect the interpretation of any provisions.
  • Relationship: You and BreezeSure are independent contractors. This Agreement does not create any partnership, employment, or agency relationship.
  • Language: This Agreement is based on the English text. If there is any inconsistency between the English text and any translation, the English text shall prevail.
  • Effectiveness: This Agreement becomes effective and binding when you indicate your acceptance (e.g., by checking "I Agree") or by your active use of the Site ("affirmative actions" such as registration or payment).
